Agreement to Terms

These Terms of Service ("Terms") are a legally binding agreement between you and Illia Khorunzhyi, Sole Proprietor, doing business as TheLoops ("Company", "we", "us", or "our"), regarding your access to and use of the theloops.live website and the TheLoops application (collectively, the "Service").

You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Service from time to time are hereby expressly incorporated herein by reference.

We reserve the right to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms.

Our Services

TheLoops is a cloud-based platform that enables users to stream pre-recorded video content to YouTube and other supported streaming platforms as live streams. Our Service allows you to upload videos, schedule streams, and manage your streaming from our platform.

The Service is intended for content creators who want to stream video content to supported platforms. We provide the technical infrastructure to facilitate streaming, but we do not control or take responsibility for the content you choose to stream.

Service Description and Delivery

In accordance with applicable consumer protection and e-commerce laws, we provide the following details about the Service before you make a purchase:

Service: TheLoops is a digital subscription service that provides access to a cloud-based 24/7 streaming platform. Users upload video files, configure stream settings, and broadcast continuously to YouTube or other supported platforms without running local software.

Key characteristics: Cloud-hosted infrastructure, 24/7 automated broadcasting, video optimization and bitrate stabilization, automatic stream recovery, per-plan limits for channels and storage (see Pricing page for details), Telegram support with under 1-hour response during working hours (08:00–20:00 UTC). Maximum uploaded file size: 20 GB per file on all plans (2 GB during the free trial) — see the Service Limits section below.

Activation: Access is activated automatically within a few minutes after payment confirmation. You will receive access credentials and instructions by email at the address associated with your account.

Subscription duration: A subscription is sold for a term of 30, 60, 90, 180 or 365 days, which you choose at checkout. Longer terms are sold at the discount shown on the Pricing page at the time of purchase. The term runs from the date the subscription is activated.

Technical requirements: A modern web browser and a stable internet connection. The Service runs entirely in the cloud — no software installation is required on your side.

Renewal: Subscriptions do not renew on their own. When a term ends, you choose whether to buy another; nothing is charged to you until you do.

Paying by the hour instead: As an alternative to a subscription you may add funds to a Balance and pay only for the time your broadcasts are on air. The rates are published on our Pricing page and the terms are set out in the "Balance" section below.

End of subscription: When a subscription term ends, premium features become unavailable until a new subscription is purchased. Your uploaded videos are kept for 90 days after that — 30 days after the free trial if the account has never paid — and are then deleted automatically, as set out under "Video Content Retention" in our Privacy Policy.

Intellectual Property Rights

Unless otherwise indicated, the Service and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Service (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us.

The Content and the Marks are provided on the Service "AS IS" for your information and personal use only. Except as expressly provided in these Terms, no part of the Service and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

User Representations

By using the Service, you represent and warrant that:

  • All registration information you submit will be true, accurate, current, and complete
  • You will maintain the accuracy of such information and promptly update it as necessary
  • You have the legal capacity and agree to comply with these Terms
  • You are at least 18 years old and not a minor in the jurisdiction in which you reside
  • You will not access the Service through automated or non-human means
  • You will not use the Service for any illegal or unauthorized purpose
  • You are not located in, under the control of, or a national or resident of any country or region subject to international sanctions, including Russia, Belarus, Iran, North Korea, Syria, Cuba, and temporarily occupied territories of Ukraine (Crimea, Donetsk, Luhansk, Zaporizhzhia, and Kherson regions)

Prohibited Activities

You may not access or use the Service for any purpose other than that for which we make the Service available. The Service may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. As a user of the Service, you agree not to:

  • Systematically retrieve data or content from the Service to create a collection, compilation, database, or directory
  • Trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information such as user passwords
  • Circumvent, disable, or otherwise interfere with security-related features of the Service
  • Use the Service to stream content that infringes on intellectual property rights of others
  • Use the Service to stream illegal, harmful, threatening, abusive, or objectionable content
  • Upload or transmit viruses, Trojan horses, or other malicious code
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems
  • Use any automated system, including robots, spiders, or scrapers, to access the Service
  • Interfere with or create an undue burden on the Service or the networks connected to the Service

User-Generated Content

The Service allows you to upload and stream video content. By uploading content to the Service, you grant us a limited license to:

  • Store the content on our servers for the purpose of providing the Service
  • Transcode and process the content for streaming
  • Deliver the content to your configured streaming platforms (YouTube)
  • Create thumbnails and previews of your content
  • Temporarily cache content for performance optimization

This license is limited to the operation of the Service and does not grant us any rights to use your content for other purposes.

You retain all ownership rights to your content. We do not claim ownership of any content you upload to the Service.

You are solely responsible for all content you upload and stream through the Service. You represent that you have all necessary rights and permissions for the content you use.

We reserve the right to remove any content that violates these Terms or applicable law, without prior notice.

Service Limits

The Service applies technical limits to uploaded content. The maximum size of a single uploaded video file is 20 GB. This limit applies to all accounts on every plan, paid plans included, and is a technical constraint of our encoding infrastructure rather than a plan feature — no subscription tier lifts it. Files exceeding this size are rejected at upload and are not processed or stored. A video too long to be processed in one run is also not processed, for the same reason and on every plan: at 60 frames per second this is a recording of roughly ten hours or more at 1080p, five hours or more at 1440p, or two and a half hours or more at 4K. Such a video stays in your library marked as too long to process until you delete it.

During the free trial, additional limits apply: a maximum of 2 GB per video file, a maximum video length of 30 minutes, a maximum of 3 uploads per day, a maximum of 9 uploads in total for the trial, and 5 GB of storage in total. These trial limits do not apply to paid plans.

Other limits — the number of simultaneous broadcasts, streaming destinations per broadcast and streaming resolution — depend on your plan and are stated on our Pricing page. Paid plans have no cap on total storage, subject to the fair use terms below.

Unlimited storage is provided for video you broadcast through the Service. It is not an archive, backup or file-hosting service. An account storing more than 1 TB in total is reviewed individually, and we will contact you before taking any action. If the stored content is clearly not being used for broadcasting, we may pause new uploads to that account until its storage is brought back below 1 TB. As a technical safeguard, an upload that would take an account above 2 TB is refused automatically; write to support and we will review the account. This clause never deletes stored content and never interrupts a running broadcast.

We may change these technical limits. Where a change reduces a limit, we will publish the new value on our Pricing page before it takes effect, and it will not apply to content already uploaded and stored under the previous limit.

Stream Keys and Platform Access

To use the streaming features of the Service, you may need to provide stream keys or connect your YouTube account. By providing this information, you acknowledge that:

  • You are the authorized owner of the YouTube channel or have been granted permission to stream to it
  • You are responsible for the security of your stream keys
  • Any activity that occurs using your stream keys is your responsibility
  • You must comply with the terms of service of the streaming platforms (e.g., YouTube Terms of Service)

Security: We encrypt stream keys at rest. However, stream keys must be decryptable to enable streaming. We strongly recommend regenerating your stream keys if you suspect unauthorized access.

Limited Use: We use your stream keys solely for the purpose of initiating and managing streams on your behalf. We do not share your stream keys with any third parties.

Disclaimer: While we take security seriously, we cannot guarantee that your stream keys will never be compromised. You use this feature at your own risk.

Copyright and DMCA

We respect the intellectual property rights of others. If you believe that content on our Service infringes your copyright, please refer to our DMCA Copyright Policy for information on how to submit a takedown notice.

We will respond to notices of alleged copyright infringement and may terminate the accounts of repeat infringers in accordance with our DMCA policy.

Subscriptions and Payments

Payment Processing: Payments are processed by card through Monobank (Plata by mono), in cryptocurrency through Cryptomus, or accepted by direct bank transfer to our Ukrainian sole proprietor (FOP) account. By paying through a provider you agree to that provider's terms: Monobank at https://www.monobank.ua/terms and Cryptomus at https://cryptomus.com/terms.

No Auto-Renewal: Subscriptions do not renew on their own. When a term ends, you choose whether to buy another; nothing is charged to you until you do.

Free Trial: New accounts can stream free for 24 hours, counted from the first broadcast that reaches the air. The free trial is one per person and one per channel: it is not available for a streaming channel (recognised by its stream key) or for an email address (including spellings that deliver to the same mailbox, such as a Gmail address written with dots or a "+" label) that has already been on air through TheLoops from another account in the previous 90 days. Creating additional accounts to obtain further free trials is not permitted. We may also refuse or end a free trial where the device, network or video content used shows that the account belongs to someone who has already had one, or to a group of accounts operated together to claim free trials repeatedly. If a start is refused because its channel or email address already had a free trial on another account, the free trial of the account that tried is ended as well. These checks are made automatically; if you believe one was wrong, contact our support and a person will review it — where it was wrong, we restore your free trial. Where this applies we will tell you in your account why the free trial is unavailable, and you can still buy a subscription or top up your Balance to stream. At the end of the trial, you will need to purchase a subscription or top up your Balance to continue streaming.

Taxes: TheLoops is operated by a Ukrainian sole proprietor on the simplified tax system (Group 3, 5% single tax) and is not a VAT payer. Prices are final and do not include any additional taxes at checkout.

EU Right of Withdrawal: If you are a consumer resident in the European Union you have a right under Directive 2011/83/EU to withdraw from a distance contract for digital services within 14 days, without giving a reason. How that right applies depends on what you bought. For a subscription: we make the Service available immediately — access is activated within minutes of payment, which is what you are buying — and where that brings your statutory right of withdrawal to an end early, our own terms still apply, since the Refund Policy gives a full refund within 7 days of purchase whatever the statutory position. For a Balance top-up: a top-up is an advance payment and is not, by itself, performance of the Service, so within 14 days of a top-up you may withdraw and we will return the amount topped up less the value of any airtime you actually used from it during that period. If you are a consumer in Ukraine, Article 13 of the Law on Consumer Protection gives you the same fourteen days to rescind a contract concluded at a distance, and the split is the same: airtime already streamed has been supplied electronically and is excepted from rescission by that Article, while an unspent Balance we return — and under our Refund Policy we return it whenever you ask, not only within fourteen days. Our voluntary refund terms in the Refund Policy apply in addition to any statutory right that cannot be waived.

We reserve the right to change our subscription prices at any time. Any price changes will apply to new subscriptions and renewals only.

Balance (Prepaid Account)

  • What the Balance is. Your account may hold a Balance: an advance payment for the Services we provide to you, and for nothing else. The Balance is a prepaid credit against your future use of TheLoops. It is not electronic money, not a deposit and not a payment instrument; it cannot be used to pay any person other than us, and it earns no interest or other benefit.
  • It belongs to your account. The Balance may not be transferred, assigned, sold or given to another account or person, and may not be exchanged for cash otherwise than as a refund under our Refund Policy.
  • Currency. The Balance is held in United States dollars, and every charge against it is made in US dollars. You may pay in hryvnia: the amount you enter is the amount your card is charged, and we convert that payment into US dollars at our rate at the moment of the top-up and credit the result to your Balance. That rate is derived from the hryvnia and US dollar prices published on our Pricing page. Where the Service displays your Balance or your statement in hryvnia, those figures are a conversion of the underlying US dollar amounts at the current rate, shown for convenience; the US dollar amount is what you hold.
  • Adding to the Balance. Self-service top-ups are accepted from US$5 to US$500 per payment. Larger amounts can be arranged with our support team.
  • What the Balance pays for, and how it is calculated. The Balance is charged only for time during which a broadcast of yours is actually running, at an hourly rate multiplied by the fraction of an hour actually delivered. The hourly rate depends on the quality tier of the broadcast and on how many platforms it is actually delivering to — several platforms are covered at the same rate before it begins to rise, and the Pricing page shows the figure for any combination. The quality tier is taken from your own files — the heaviest video in the playlist — and is fixed at the moment the broadcast starts, so it cannot change under you while the broadcast runs. Every charge appears in the statement in your account with its date, its duration and its amount.
  • The Balance does not expire. We charge no dormancy, maintenance or inactivity fee, and we do not cancel or reduce an unused Balance because an account has been inactive.
  • When the Balance runs out. When your Balance reaches zero we stop your running broadcasts, and no new broadcast may start until the Balance is topped up or an active subscription covers it. Your Balance can never fall below zero. If a broadcast delivers more airtime than your Balance can pay for before we stop it, we bear that difference: you owe us nothing for it, and it is not carried over against any later top-up.
  • Changes to rates. We may change our rates. A change never re-prices airtime that has already been delivered and charged. If a broadcast of yours is running when a change is published, the new rate applies to the time it streams after that.
  • Your statement. The statement in your account is our record of movements on your Balance. If you believe an entry is wrong, tell us as soon as you can — the sooner you do, the more of the underlying data we still hold to check it against. This does not limit any period allowed to you by law.

Privacy Policy

We care about data privacy and security. Please review our Privacy Policy posted on the Service. By using the Service, you agree to be bound by our Privacy Policy, which is incorporated into these Terms.

The Service is primarily hosted within the European Union. Incoming traffic is additionally routed through geographically distributed edge nodes operated by our CDN provider. If you access the Service from another region with laws governing personal data collection, use, or disclosure that differ from applicable laws in the EU, your continued use of the Service constitutes your consent to the international processing of your data as described in our Privacy Policy.

Term and Termination

These Terms remain in full force and effect while you use the Service. We may, in our sole discretion, suspend or terminate your access to the Service at any time, for any reason, including breach of these Terms.

If we terminate or suspend your account, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party.

Effect of Termination

Upon termination of your account:

  • Your right to use the Service will immediately cease
  • Any active streams will be stopped
  • Your uploaded content will be deleted within 30 days
  • No refund will be issued for any unused portion of your subscription (except as outlined in our Refund Policy)
  • Any unspent Balance will be returned to you in accordance with our Refund Policy. Where a top-up is the subject of a chargeback, or of an investigation into fraud or unlawful use, we may hold the corresponding amount until that is resolved, and we will tell you the reason and the outcome. We do not keep an unspent Balance as a penalty for the account having been terminated.

If the Service Closes Down

If we decide to stop providing the Service:

  • We will give you at least 60 days' notice by email to the address on your account and by a notice in the Service.
  • From the date of that notice we will stop accepting top-ups, so that nobody adds money to a Balance they will not be able to use.
  • During the notice period you may go on using your Balance normally, or ask for the unspent part back at any time under our Refund Policy.
  • On the closing date we will return every remaining unspent Balance without waiting for you to ask, to the payment method used for the top-up or, where that is not possible, by another means we agree with you.
  • If we are unable to reach you, your unspent Balance remains payable to you and we will hold the record of it for at least three years from the closing date.

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICE'S CONTENT AND WE ASSUME NO LIABILITY FOR ANY ERRORS OR OMISSIONS IN THE CONTENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION ARISING.

Nothing in these Terms is intended to limit or exclude any liability that cannot be limited or excluded under applicable mandatory law, including liability for gross negligence, willful misconduct, or personal injury.

Earnings Disclaimer

TheLoops provides tools and calculators that estimate potential earnings from YouTube streaming. These estimates are for informational purposes only and should not be relied upon as guarantees of actual income.

Actual earnings depend on many factors outside our control, including YouTube's monetization policies, ad rates (CPM), viewer demographics, content type, and market conditions.

We make no representations or warranties regarding the accuracy of earnings estimates. Past performance does not guarantee future results.

You should not make financial decisions based solely on estimates provided by our tools. Consult a financial professional for advice tailored to your specific situation.

Indemnification

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of the Service, your breach of these Terms, or your violation of any applicable law or the rights of a third party.

Dispute Resolution

If you have any concerns or disputes about the Service, you agree to first try to resolve the dispute informally by contacting us at support@theloops.live before initiating any formal proceedings.

Any dispute that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Lviv, Ukraine, except where mandatory consumer protection laws grant you the right to bring proceedings in the courts of your country of residence.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law principles.

Language of These Terms

These Terms are published in Ukrainian and in English. The Ukrainian version is the authoritative text and prevails in the event of any discrepancy; the English version is a translation provided for convenience. Nothing in this clause deprives you of the protection of the mandatory consumer law of your own country of residence, or of your right to bring proceedings there where that law gives you one.

How This Contract Is Concluded

  • These Terms are our offer. You accept it by creating an account, and — for anything that is paid for — by confirming the payment. From that moment these Terms bind both of us.
  • Before you accept. Every figure that decides what you pay is shown to you on the payment screen before you confirm it: the amount, the currency your card will be charged in, the term of a subscription, and, for a top-up, the sum that will reach your Balance. You can change any of it, or leave the screen, right up to the moment you confirm. Nothing is charged before that.
  • If you get something wrong. If you confirm something you did not intend — the wrong amount, the wrong term, the wrong plan — write to us at the address in "Contact Us" below and we will put it right under our Refund Policy.
  • The text of this contract. These Terms, the Refund Policy and the Privacy Policy are published on our website with the date each was last changed, and stay available to you there. We keep the earlier versions: ask us and we will send you, by email and free of charge, the text that was in force when you accepted it.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Cookie Policy, constitute the entire agreement between you and us regarding the use of the Service.
