Agreement to Terms

These Terms of Service ("Terms") are a legally binding agreement between you and Illia Khorunzhyi, Sole Proprietor, doing business as TheLoops ("Company", "we", "us", or "our"), regarding your access to and use of the theloops.live website and the TheLoops application (collectively, the "Service").

You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Service from time to time are hereby expressly incorporated herein by reference.

We reserve the right to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms.

Our Services

TheLoops is a cloud-based platform that enables users to stream pre-recorded video content to YouTube and other supported streaming platforms as live streams. Our Service allows you to upload videos, schedule streams, and manage your streaming from our platform.

The Service is intended for content creators who want to stream video content to supported platforms. We provide the technical infrastructure to facilitate streaming, but we do not control or take responsibility for the content you choose to stream.

Service Description and Delivery

In accordance with applicable consumer protection and e-commerce laws, we provide the following details about the Service before you make a purchase:

Service: TheLoops is a digital subscription service that provides access to a cloud-based 24/7 streaming platform. Users upload video files, configure stream settings, and broadcast continuously to YouTube or other supported platforms without running local software.

Key characteristics: Cloud-hosted infrastructure, 24/7 automated broadcasting, video optimization and bitrate stabilization, automatic stream recovery, per-plan limits for channels and storage (see Pricing page for details), Telegram support with under 1-hour response during working hours (08:00–20:00 UTC).

Activation: Access is activated automatically within a few minutes after payment confirmation. You will receive access credentials and instructions by email at the address associated with your account.

Subscription duration: Each subscription period is 30 days from the activation date. Subscriptions do not auto-renew — you must manually purchase a new period to continue using premium features.

Technical requirements: A modern web browser and a stable internet connection. The Service runs entirely in the cloud — no software installation is required on your side.

End of subscription: At the end of the 30-day period, premium features become unavailable until a new subscription is purchased. Your uploaded content remains stored for the retention period described in our Privacy Policy.

Intellectual Property Rights

Unless otherwise indicated, the Service and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Service (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us.

The Content and the Marks are provided on the Service "AS IS" for your information and personal use only. Except as expressly provided in these Terms, no part of the Service and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

User Representations

By using the Service, you represent and warrant that:

  • All registration information you submit will be true, accurate, current, and complete
  • You will maintain the accuracy of such information and promptly update it as necessary
  • You have the legal capacity and agree to comply with these Terms
  • You are at least 18 years old and not a minor in the jurisdiction in which you reside
  • You will not access the Service through automated or non-human means
  • You will not use the Service for any illegal or unauthorized purpose
  • You are not located in, under the control of, or a national or resident of any country or region subject to international sanctions, including Russia, Belarus, Iran, North Korea, Syria, Cuba, and temporarily occupied territories of Ukraine (Crimea, Donetsk, Luhansk, Zaporizhzhia, and Kherson regions)

Prohibited Activities

You may not access or use the Service for any purpose other than that for which we make the Service available. The Service may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. As a user of the Service, you agree not to:

  • Systematically retrieve data or content from the Service to create a collection, compilation, database, or directory
  • Trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information such as user passwords
  • Circumvent, disable, or otherwise interfere with security-related features of the Service
  • Use the Service to stream content that infringes on intellectual property rights of others
  • Use the Service to stream illegal, harmful, threatening, abusive, or objectionable content
  • Upload or transmit viruses, Trojan horses, or other malicious code
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems
  • Use any automated system, including robots, spiders, or scrapers, to access the Service
  • Interfere with or create an undue burden on the Service or the networks connected to the Service

User-Generated Content

The Service allows you to upload and stream video content. By uploading content to the Service, you grant us a limited license to:

  • Store the content on our servers for the purpose of providing the Service
  • Transcode and process the content for streaming
  • Deliver the content to your configured streaming platforms (YouTube)
  • Create thumbnails and previews of your content
  • Temporarily cache content for performance optimization

This license is limited to the operation of the Service and does not grant us any rights to use your content for other purposes.

You retain all ownership rights to your content. We do not claim ownership of any content you upload to the Service.

You are solely responsible for all content you upload and stream through the Service. You represent that you have all necessary rights and permissions for the content you use.

We reserve the right to remove any content that violates these Terms or applicable law, without prior notice.

Stream Keys and Platform Access

To use the streaming features of the Service, you may need to provide stream keys or connect your YouTube account. By providing this information, you acknowledge that:

  • You are the authorized owner of the YouTube channel or have been granted permission to stream to it
  • You are responsible for the security of your stream keys
  • Any activity that occurs using your stream keys is your responsibility
  • You must comply with the terms of service of the streaming platforms (e.g., YouTube Terms of Service)

Security: We encrypt stream keys at rest. However, stream keys must be decryptable to enable streaming. We strongly recommend regenerating your stream keys if you suspect unauthorized access.

Limited Use: We use your stream keys solely for the purpose of initiating and managing streams on your behalf. We do not share your stream keys with any third parties.

Disclaimer: While we take security seriously, we cannot guarantee that your stream keys will never be compromised. You use this feature at your own risk.

Copyright and DMCA

We respect the intellectual property rights of others. If you believe that content on our Service infringes your copyright, please refer to our DMCA Copyright Policy for information on how to submit a takedown notice.

We will respond to notices of alleged copyright infringement and may terminate the accounts of repeat infringers in accordance with our DMCA policy.

Subscriptions and Payments

Payment Processing: Payments are processed by card through Monobank (Plata by mono), in cryptocurrency through Cryptomus, or accepted by direct bank transfer to our Ukrainian sole proprietor (FOP) account. By paying through a provider you agree to that provider's terms: Monobank at https://www.monobank.ua/terms and Cryptomus at https://cryptomus.com/terms.

No Auto-Renewal: Our subscriptions do not auto-renew. When your subscription period ends, you will need to manually purchase a new subscription to continue accessing premium features.

Free Trial: We may offer a free trial period for new users. At the end of the trial, you will need to purchase a subscription to continue using premium features.

Taxes: TheLoops is operated by a Ukrainian sole proprietor on the simplified tax system (Group 3, 5% single tax) and is not a VAT payer. Prices are final and do not include any additional taxes at checkout.

EU Right of Withdrawal: If you are a consumer residing in the European Union, you have a statutory right to withdraw from a digital service contract within 14 days of purchase without giving any reason, under Directive 2011/83/EU. By starting to use the Service during this 14-day period, you expressly consent to immediate performance and acknowledge that your right of withdrawal ends once the Service has been fully performed. Our voluntary 7-day refund window described in the Refund Policy applies in addition to any statutory rights that cannot be waived.

We reserve the right to change our subscription prices at any time. Any price changes will apply to new subscriptions and renewals only.

Privacy Policy

We care about data privacy and security. Please review our Privacy Policy posted on the Service. By using the Service, you agree to be bound by our Privacy Policy, which is incorporated into these Terms.

The Service is primarily hosted within the European Union. Incoming traffic is additionally routed through geographically distributed edge nodes operated by our CDN provider. If you access the Service from another region with laws governing personal data collection, use, or disclosure that differ from applicable laws in the EU, your continued use of the Service constitutes your consent to the international processing of your data as described in our Privacy Policy.

Term and Termination

These Terms remain in full force and effect while you use the Service. We may, in our sole discretion, suspend or terminate your access to the Service at any time, for any reason, including breach of these Terms.

If we terminate or suspend your account, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party.

Effect of Termination

Upon termination of your account:

  • Your right to use the Service will immediately cease
  • Any active streams will be stopped
  • Your uploaded content will be deleted within 30 days
  • No refund will be issued for any unused portion of your subscription (except as outlined in our Refund Policy)

Disclaimer

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICE'S CONTENT AND WE ASSUME NO LIABILITY FOR ANY ERRORS OR OMISSIONS IN THE CONTENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION ARISING.

Nothing in these Terms is intended to limit or exclude any liability that cannot be limited or excluded under applicable mandatory law, including liability for gross negligence, willful misconduct, or personal injury.

Earnings Disclaimer

TheLoops provides tools and calculators that estimate potential earnings from YouTube streaming. These estimates are for informational purposes only and should not be relied upon as guarantees of actual income.

Actual earnings depend on many factors outside our control, including YouTube's monetization policies, ad rates (CPM), viewer demographics, content type, and market conditions.

We make no representations or warranties regarding the accuracy of earnings estimates. Past performance does not guarantee future results.

You should not make financial decisions based solely on estimates provided by our tools. Consult a financial professional for advice tailored to your specific situation.

Indemnification

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of the Service, your breach of these Terms, or your violation of any applicable law or the rights of a third party.

Dispute Resolution

If you have any concerns or disputes about the Service, you agree to first try to resolve the dispute informally by contacting us at support@theloops.live before initiating any formal proceedings.

Any dispute that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Lviv, Ukraine, except where mandatory consumer protection laws grant you the right to bring proceedings in the courts of your country of residence.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law principles.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Cookie Policy, constitute the entire agreement between you and us regarding the use of the Service.
